Terms and Conditions of Sale
We are old school and have done deals on the strength of a word and a handshake – our lawyers call us naive and rustic... and insist we have these disclaimers published. It won't change the fact that if you are in need of help we are always here to help.
1. Acceptance of Terms
The Buyer’s acceptance of goods and/or services constitutes acceptance of these terms and conditions. Any terms or provisions in the Buyer’s order that conflict with, or add to, these terms and conditions will not be binding unless Reliable Pressings has accepted them in writing. Reliable Pressings’ failure to object to any provision in a communication from the Buyer will not be a waiver of these terms and conditions. If an arbitrator, court or other competent body declares any of these terms and conditions invalid or unenforceable, the remaining terms and conditions will remain in full force and effect. This agreement is governed by the laws of the Republic of South Africa.
2. Delivery and Risk
Unless otherwise agreed in writing by Reliable Pressings, goods are supplied ex works (EXW, Incoterms 2020) from our premises, and ownership and risk pass to the Buyer when the goods are handed to the Buyer or the Buyer’s carrier. At the Buyer’s request only, Reliable Pressings may arrange and prepay freight, handling and insurance and invoice the Buyer for these costs. International orders are supplied ex works (EXW, Incoterms 2020); freight and insurance for international consignments may be arranged for a fee on request. No order may be ceded or assigned without Reliable Pressings’ prior written approval.
3. Payment
Unless otherwise stated in writing by Reliable Pressings, 100% of the invoiced amount is payable in South African rand within 30 days of the invoice date, subject to approved credit. Reliable Pressings may change the payment terms if, in its sole opinion, the Buyer’s payment record or financial position warrants it. Overdue amounts bear interest at 1% per month on the outstanding balance. Prices exclude VAT and any other tax or duty that is or may in future be imposed on the production, storage, sale, transport or use of the goods.
4. International Sales
The following payment terms may be required for international orders. Letter of credit: payment must be made by an irrevocable letter of credit issued in favour of Reliable Pressings as beneficiary, advised and confirmed by, and payable at, our South African bank. The letter of credit must be opened 60 days before the acknowledged dispatch date, remain valid for 45 days after that date, and be payable at sight in US dollars or euros for 100% of the invoiced amount. Transhipment and part shipments are permitted. Documentary collection: all documents needed for normal customs clearance will be sent to the collecting bank at the destination. Payment in advance: payment may be made by electronic funds transfer to Reliable Pressings and must include the estimated freight and transport charges, unless the goods are shipped freight collect. Any overpayment of these charges will be refunded.
5. Cancellation
Orders may not be cancelled or rescheduled without Reliable Pressings’ written consent. Any cancellation or rescheduling that we agree to is subject to cancellation or rescheduling charges determined by Reliable Pressings, which may include the cost of material bought and work already done on the order.
6. Export Control
The sale of Reliable Pressings products and technology is subject to all applicable South African export control laws and regulations. All international orders are subject to the approval of any export permits required by government. The use, sale, re-export, delivery or transfer, directly or indirectly, of the goods described in this document for any activity related to the design, production, use or stockpiling of chemical, biological or nuclear weapons or missiles is strictly prohibited.
7. Delays Beyond Our Control
Reliable Pressings will not be liable for non-delivery or late delivery caused directly or indirectly by, or arising in any way from, circumstances beyond its reasonable control, including late delivery or non-delivery by our suppliers, pandemics, disease outbreaks, fire, flood, accidents, riots, civil unrest, war, government action, embargoes, load-shedding or other interruptions to the power or water supply, strikes, or a shortage of labour or materials. Delivery will be suspended for as long as such circumstances delay performance. Reliable Pressings will deliver, and the Buyer will accept delivery, within a reasonable time after the circumstances have ended.
8. Design Changes
Reliable Pressings and its suppliers reserve the right to change product designs or specifications at any time without notice, provided that goods made to the Buyer’s own drawing or specification will be made to the agreed revision.
9. Limited Warranty
Reliable Pressings warrants that each product is free from defects in material and workmanship under normal use and service for 60 days from the date of dispatch, unless a different period is stated in the documents supplied with the product. This warranty applies only to the original Buyer and does not apply to any product that, in Reliable Pressings’ opinion, has been misused, altered, neglected, incorrectly installed, or damaged by accident or by abnormal operating or handling conditions. Our distributors and resellers have no authority to give a greater or different warranty on behalf of Reliable Pressings. Reliable Pressings’ obligation under this warranty is limited, at its option, to refunding the purchase price or replacing free of charge any defective product returned within the warranty period. To claim under the warranty, contact Reliable Pressings and return the product with a description of the problem, carriage and insurance paid, to our premises. Reliable Pressings accepts no risk for damage in transit. After a valid warranty claim, the replacement product will be returned to the Buyer, carriage paid. If Reliable Pressings finds that the failure was caused by misuse, alteration, accident or abnormal operating or handling conditions, we will provide a quotation for replacement and obtain the Buyer’s authorisation before proceeding, and the Buyer will be invoiced for the replacement and the return carriage.
10. Limitation of Liability
To the extent permitted by law, this warranty is the Buyer’s sole and exclusive remedy and replaces all other warranties, express or implied, including any implied warranty of fitness for a particular purpose. Reliable Pressings will not be liable for any special, indirect, incidental or consequential loss or damage, including loss of production, profit or data, whether arising from breach of warranty, breach of contract, delict or on any other basis. Nothing in these terms and conditions limits any right the Buyer may have under the Consumer Protection Act 68 of 2008, where that Act applies.
